Corporate Paralegal

Robert Half has partnered with a local investment/private equity company, in the Denver Metro, on the search for a 3+ years’ Corporate Paralegal. This candidate will work alongside and provide support to the Senior Corporate Paralegal. Responsibilities include, but are not limited to, the following:

  • Assist with ensuring compliance with State and Federal regulations, such as state licensing requirements and the new Corporate Transparency Act

  • Corporate record keeping

  • Assist with a variety of business and real estate matters

  • Entity formation and corporate governance

  • Filing periodic reports

  • Drafting minutes and consents

  • Real estate document review

  • Due diligence for sales and acquisitions

  • Coordinate closings

  • Contract drafting and review

  • File management and organization

  • Other duties as assigned

Experience handling non-disclosure agreements, vendor and supplier contracts would be essential. Candidates should have the ability to maintain strict confidentiality; be a team player; work well with all internal business units and external vendors. A BA or BS degree and paralegal certificate are highly preferred. Our client does offer a competitive compensation and benefits package. Requirements • Proficiency in Case Management Software

• Skilled in using LexisNexis for legal research

• Familiarity with Management Systems

• Proficient in Microsoft Excel

• Experience in Calendar Management

• In-depth knowledge of Corporate Law

• Understanding of Transactional Law

• Knowledge of Real Estate Law

• Proficiency in preparing Closing Documents

• Experience in Contract Management

• Understanding of Corporate Governance

• Ability to conduct Due Diligence

• Experience in Entity Formation

• Knowledge of Regulatory Compliance

• Strong Legal Writing skills

• Excellent Legal Research abilities

• Previous experience as a Corporate Paralegal in Investment Management/Companies industry
